1. ACCEPTANCE OF TERMS (LEGALLY BINDING AGREEMENT)
This End-User License Agreement and Terms of Service (“Agreement”) constitutes a legally binding contract between: You (“User”, “Subscriber”); and.

By: Accessing; Registering; Completing KYC verification; Purchasing or subscribing; Clicking “I Agree” (clickwrap acceptance); You:.
Acknowledge that you have read, understood, and agree to be bound by this Agreement
Consent to electronic execution, timestamp logging, and digital record retention; If you do not agree, you must immediately cease use of all AQS Services.
2. NATURE OF SERVICES (CORE LEGAL POSITIONING)
AQS provides: Proprietary technology-based analytical tools (including AMI); Data visualization systems; Educational programs and market insight sessions.
AQS operates strictly as: A SaaS technology and education provider.
AQS does NOT: Provide financial, investment, legal, or tax advice; Execute trades or manage funds; Act as a broker, dealer, advisor, or fiduciary.
All outputs: Require independent interpretation and judgment by the User.
3. ELIGIBILITY & MANDATORY REQUIREMENTS
By using AQS Services, you represent and warrant that:
3.1 Legal Eligibility
You are of legal age in your jurisdiction; You have full legal capacity to enter into binding agreements
3.2 Technical & Operational Requirements
You must independently maintain: A Windows-based system or VPS meeting current platform requirements; Stable high-speed internet connection; Compatible trading platform (e.g., NinjaTrader or equivalent); Active trading account capable of trading CME Futures.
3.3 Market Data Requirements
You must maintain: Non-Professional CME Group Level II Data Bundle (or equivalent); Coverage for CME, CBOT, NYMEX, COMEX.
3.4 Responsibility Clause
Failure to meet any requirement: May result in partial or total inability to use Services; Does NOT entitle you to any refund.
4. MANDATORY REGISTRATION, KYC & IDENTITY VERIFICATION
Access requires: Full registration; Mandatory KYC verification via third-party providers.
You agree to provide: Accurate and complete information; Government-issued ID + selfie verification; Device/Machine identification (where required).
AQS reserves the right to: Approve or reject any application; Suspend or terminate access at its sole discretion.
5. ACCOUNT SECURITY, LICENSE & ACCESS RESTRICTIONS
License granted is: Personal, limited, non-exclusive, revocable. Strictly: 1 user = 1 license; Non-transferable.
You shall NOT: Share credentials; Allow third-party access; Circumvent security controls.
Violation may result in: Immediate termination; Permanent ban; Legal action; No refund under any circumstances.
6. COMPREHENSIVE DISCLAIMER (NO ADVICE / NO GUARANTEES)
AQS Services are provided strictly for: Educational, informational, and analytical purposes only.
AQS does NOT provide: Investment advice; Trading recommendations; Financial guidance.
Nothing constitutes: An offer to buy or sell; A recommendation of any strategy.
You acknowledge: Full responsibility for all decisions; Independent judgment is required.
Trading involves significant risk, including total loss of capital.
Past performance is not indicative of future results.
7. TECHNOLOGY, SOFTWARE & DATA RISK DISCLOSURE
You acknowledge:
SaaS platforms are subject to: Bugs; Errors; Interruptions; Latency.
AQS is NOT responsible for: Data inaccuracies or delays; Platform malfunctions; Execution discrepancies; Connectivity issues; Cyber incidents.
8. THIRD-PARTY SERVICES DISCLAIMER
AQS relies on third-party services including: Trading platforms (e.g., NinjaTrader); Market data providers (e.g., CME Group); Infrastructure providers; AQS: Has no control over third parties; Bears no liability for their performance.
You are solely responsible for: Maintaining required subscriptions; Ensuring proper configuration.
9. SUBSCRIPTIONS, PAYMENTS & STRICT NO-REFUND POLICY
All fees are: Payable in advance; Non-refundable; STRICT NO REFUND POLICY.
All sales are final, including cases of: Non-use; Dissatisfaction; Technical issues; Account suspension; Failure to meet requirements.
Limited exceptions: Duplicate or erroneous billing (case-by-case); You agree: Not to initiate chargebacks; That unauthorized chargebacks constitute breach of Agreement.
10. EDUCATIONAL SESSIONS & RECORDING CONSENT
AQS may record all: Webinars; Live sessions; Educational programs.
Recordings may include: Audio; Video; Chat data; Screen sharing.
By participating, you provide:
Express, informed, irrevocable consent to: Recording; Use; Storage; Distribution; Usage Rights.
AQS may use recordings for: Education; Training; Quality assurance; Marketing and promotional purposes; User Responsibility.
If you do not consent: You must disable camera/microphone; Or exit the session; Continued participation = binding consent.
11. INTELLECTUAL PROPERTY RIGHTS
All content is owned exclusively by AQS, including: AMI indicators; Software; Systems; Educational materials.
You may NOT: Copy; Distribute; Sell; Reverse engineer; Share.
Unauthorized use may result in: Legal action; Financial damages.
12. PRIVACY, DATA & COMPLIANCE
AQS complies with: PIPEDA; CASL; GDPR principles.
You consent to: Collection and processing of personal data; Cross-border data transfers.
Data may include: Identity verification data; Usage analytics; Device identifiers.
13. COOKIES & TRACKING
AQS uses cookies for: Platform functionality; Analytics; Security.
Continued use constitutes consent.
14. PROHIBITED USE
You agree NOT to: Misuse Services; Attempt unauthorized access; Share or resell content; Use Services for unlawful purposes.
15. INDEMNIFICATION
You agree to fully indemnify and hold harmless AQS and its: Directors; Officers; Employees; Contractors; Partners.
From any claims arising from: Your use of Services; Your violations; Your financial decisions.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
AQS shall NOT be liable for: Direct or indirect losses; Trading losses; Loss of profits; Data loss; Business interruption.
17. TERMINATION
AQS may terminate access: At its sole discretion; For breach or misuse.
No refunds shall be issued.
18. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by: Laws of the Province of Ontario, Canada.
All disputes shall be resolved exclusively in: Courts of Ontario, Canada.
Arbitration is expressly excluded.
19. CLASS ACTION WAIVER
You waive any right to: Participate in class actions; Bring collective claims.
20. FORCE MAJEURE
AQS shall not be liable for failure due to: Natural disasters; System failures; Government actions; Events beyond reasonable control.
21. NO AGENCY / NO PARTNERSHIP
Nothing in this Agreement creates: Partnership; Agency; Fiduciary relationship.
22. ASSIGNMENT
You may not assign your rights.
AQS may assign freely.
23. SEVERABILITY
If any provision is invalid: Remaining provisions remain enforceable.
24. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between parties.
25. MODIFICATIONS
AQS may update terms at any time.
Continued use = acceptance.
26. HOURS OF OPERATION & SUPPORT
Monday–Friday: 09:00–16:00 EST (Ontario); Closed weekends and statutory holidays
Support requests: Must be submitted via official website; Response time: within 2 business days (valid requests only).
27. TRADEMARK DISCLAIMER
All third-party trademarks, including but not limited to Microsoft, Windows, NinjaTrader, CME Group, Rithmic, and CQG, are the property of their respective owners.
AQS is not affiliated with or endorsed by any such entities.
